General Information

The following terms and conditions of sale and delivery shall apply to all quotations, sales and deliveries of shelf items sold from retail stock, regardless of eventual contradictory or diversifying terms specified in the customer’s order or accept, unless a mutual agreement has been made in writing.

These Terms and Conditions, all transactions and/or orders are governed by Danish law. Disputes between the parties that cannot be resolved amicably, shall be settled by the Court in Holstebro, Denmark.

Only registered companies are able to trade with Westpack (WP). Private orders will not be processed, with the exception of sole traders where a VAT registration is not mandatory in the country of residence.

Custom-made products are not covered by these terms and conditions.

Westpack’s obligations

WP is obliged to supply the goods specified in the issued order confirmation. WP is obliged to supply goods or services of normal quality in respect of materials, manufacture, handling, packaging and storage.

Order Confirmation

After placing an order, an order confirmation will be issued per e-mail, regardless of the preferred order method. The expected dispatch date and week are listed on the order confirmation. Execution of an order is only binding on the part of WP when an order confirmation has been issued. If for any reason WP cancels the order, WP is not liable for any costs or losses (monetary or otherwise) in connection with entering the agreement.

If an order confirmation is not received after placing the order, or the customer experiences an error message or service interruption after submitting the order, it is the customer’s responsibility to confirm with WP whether or not the order has been accepted. WP will not be responsible for losses (monetary or otherwise) if the customer assumes that an order was placed, when the customer failed to receive confirmation.

All customers are obliged to check the order confirmation immediately. If the order confirmation does not comply with the order that has been placed, WP must be contacted immediately.

It is not possible to add products to orders that have been processed. Additions shall be treated as a new order and therefore registered separately. This may result in (additional) freight costs being added.

WP may ask for a signed approval of the order confirmation, prior to the processing of the order.

Online Orders

If the order is placed online, an order overview is issued automatically. This e-mail confirms that WP has received the order; however, it does not serve as a guarantee that WP will be able to supply all of the items on the order. If WP cannot accept or fulfil the order for any reason, the customer will be contacted.

The order overview issued by the website does not serve as a binding order confirmation.

Invoice

Invoices will be issued per e-mail, immediately after the order has been dispatched.

After an order has been invoiced, it is no longer possible to change the order and/or the contact details on the given invoice. When a new invoice needs to be issued due to changed company details, WP reserves the right to charge a fee for this service.

Supply and Delivery Time

Delivery according to Incoterms rules. If nothing else is agreed upon, orders will be delivered Ex Works. The specific delivery terms are stated in the order confirmation issued by WP. The title to, and risk of loss of the goods, transfers to the customer upon dispatch.

Orders will be dispatched to the registered billing address, unless a different delivery address is indicated by the customer.

WP will arrange for transport of the goods on behalf of the customer. A link to Track & Trace will be provided after the order has been dispatched.

WP reserves the right to alter delivery dates, if a delay has occurred in the delivery or production of the ordered products, and/or the required tools for processing the order (such as printing stamps for logo printing). WP is obliged to inform the customer of any such alteration, per e-mail.

Prices

All prices include packaging, but are excluding VAT or other applicable taxes. WP reserves the right to alter any price at any time, without preceding notification, in the event of increased material costs, subcontract costs, taxes, duties, wages or exchange rates that result in increased costs for WP. In the event of a pricing error, WP reserves the right to correct the error and charge the correct price.
WP is obliged to notify the customer of any price alterations prior to delivery, per e-mail, if the price alterations affect an already confirmed order that has not yet been invoiced.

Prices are invoiced in GBP (United Kingdom only), DKK (Denmark, Faroe Islands, Iceland and Greenland only), SEK (Sweden only), EURO (European countries and Switzerland only), PLN (Poland only), NOK (Norway only) or USD (Countries outside of Europe), depending on the selected invoicing address.

Costs for printing stamps (clichés) may be added to the order. WP is obliged to contact the customer if any additional costs are charged, via the order confirmation, prior to delivery.

WP reserves the right to alter freight prices, if the total cost of the shipment exceeds the given, estimated, or online displayed price.

Payment terms

Terms of payment, calculated from the date of invoice, are specified in the written order confirmation. In the event that payment is not received by the due date, WP reserves the right to charge interest at the rate of 2% per calendar month, from the date the payment was due. WP reserves the right to charge reminder fees for each issued reminder, and to apply any other collection charges.

In the event that the customer owes WP overdue payment for any previous supplies, WP will not be obliged to deliver any further goods or services until the overdue balance is settled. This applies regardless of any order confirmation sent by WP to the customer. WP’s obligation to supply goods or services will not be restored until after any overdue balance has been settled.

Payment Methods

Payments can be made by bank transfer, selected credit cards, SEPA direct debit (EUR only), etc.

Credit card payments

Credit card payments are made online, using our SSL payment system (Secured Socket Layer).

When prepaying an order online, by credit card, the full amount of the order is reserved on the customer’s account by WP. The payment will not be debited until the order has been invoiced.

WP can never debit more than the amount that was reserved when the payment was processed.
Due to this, any changes made in an order that has been (pre)paid online, that result in a modification of the total amount, may require for a new or additional payment to be made.
When changes are made to an already (partly) prepaid order, the order can not be processed until the payment has been received in full, regardless of any payment credit the customer might have.

When the final order is for less than the reserved amount, the payment will be debited effective immediate, when the definitive order confirmation has been sent.

All credit- and debit card holders are subject to validation and authorisation by both the issuer of the card and WP, for security reasons and the prevention of fraud. Financial details are treated confidentially, and will not be passed on to any third party, nor stored for later use.

Direct Debit (SEPA)

Customers paying in EURO, have the possibility to pay by SEPA Direct Debit. When registering for SEPA Direct Debit, the order confirmation sent by our sales department serves as an announcement of the amount that is to be deducted, on the due date of the invoice.

VAT

EU Trade

Trade within the European Union at 0% VAT applies for all EU-based customers with a valid European VAT number, provided the order will be delivered within the EU. Customers without a European VAT-number are required to pay 25% VAT (Danish rates), provided that the order will be delivered within the European Union.

Non EU Trade

For orders delivered to countries that are not part of the EU, no VAT will be added. The customer is liable for any applicable taxes that may be charged. Any taxes will be paid directly to the transport company. When the customer fails to pay the due taxes, WP reserves the right to invoice the due taxes directly to the customer.

UK Trade

Customers in the UK are required to pay 20% VAT (UK rates), provided that the order will be delivered within the UK. Westpack is VAT-registered in the UK and sending invoices to UK customers through our UK VAT registration.

Missing, Damaged, Incorrect or Faulty products

WP can not guarantee that all the ordered products will arrive at the same time.
Depending on the availability of the ordered items, one or more of the ordered products may be dispatched at a later time, as a back order. WP is obliged to inform the customer when products are sent as a backorder, via an order confirmation, prior to delivery.

The customer is obliged to check products upon receipt and inform WP if the received products are not of the usual quality. WP will assess the customer’s claim and can, at their own discretion, reject the claim, rectify the fault, replace the goods, or issue a credit note. WP’s obligation in respect of the above is conditional on receipt of a written complaint within 14 days from the date of accepting the delivery.

The title to, and risk of loss of the goods, transfers to the customer upon dispatch. Whilst the goods are in the customer’s possession, they must take reasonable care of the products and not use them until they are returned.

WP is not responsible for any damage or mistakes arising as a result of wrong handling, transport, storage, force majeure, or other conditions caused by a third party. Products being returned to WP are always returned on the customer’s account and risk.

Returns and Cancellations

Products with logo print, custom-made products, products that are made-to-order, and products that in any other way have been processed cannot be returned or exchanged. Discontinued products purchased at prices reduced by more than 40% cannot be returned or exchanged.

Other unused and non-defective products can be returned to WP by prior arrangement. The customer is liable for freight costs of the return shipment.

The title to, and risk of loss of the goods, transfers to the customer upon dispatch of the order. On receipt of the returned, undamaged and unused item, WP will issue a full refund for the cost of the product(s). Any items that are returned damaged or used, or with indications that the customer did not take reasonable care of the items whilst they were in their possession, may result in a reduced refund.

Reservations

WP reserves the right for misprints, typing errors, sold-out products (back orders included), failure of suppliers’ transportation, changed product specifications and force majeure. WP cannot be held responsible for indirect consequential losses, monetary or otherwise, nor any profit loss as a result of WP’s product responsibility, delays and/or missing delivery.

E-commerce

WP reserves the right to revoke access to our online shop, when the personal access is being abused or if the system is not used for a longer period of time. For security reasons, this will happen without any prior notification.
